NIFCOT1 is a digital token issued by a special purpose vehicle (SPV) that provides economic exposure referenced to the Nisus High Yield Growth Fund, a Dubai real estate fund regulated by the Dubai Financial Services Authority (DFSA) in the DIFC.
This marks the start of a broader vision: making high-quality real-world assets more accessible through tokenization.

What is the Nisus High Yield Growth Fund?
The Nisus High Yield Growth Fund is a Qualified Investor Fund regulated by the DFSA in the DIFC, focused on Dubai and wider GCC real estate. Through the SPV and NIFCOT1, Toyow brings exposure to the fund's strategy onchain, subject to the eligibility, onboarding, and minimum-investment requirements that apply to the offering.
Through tokenization, it enables a broader audience to participate in an asset class that has historically been available only to larger participants.

How the Structure Works
The launch has been designed with institutional-grade legal infrastructure.
- A BVI Special Purpose Vehicle (SPV) subscribes to the underlying DIFC-regulated fund.
- The SPV issues 100,000 digital tokens through the Toyow Marketplace.
- Token holders receive a right to contractual economic returns from the SPV, with such returns referenced to the economic interests in the underlying Fund.
- Token holders receive contractual rights, not units in the fund, and not governance rights over the fund.
Participation
The Toyow Marketplace is built to serve a global community of eligible participants. Participation is limited to purchasers who meet the applicable eligibility, client-classification, and jurisdictional criteria, and all participants must complete the applicable onboarding and compliance requirements.
